Beat License Agreement

Effective date: October 3, 2026

This Beat License Agreement (the “Agreement”) is between Reecenben, Inc., a Delaware corporation doing business as In Benjamin We Trust, 300 Creek View Road, Suite 209, Newark, Delaware 19711, USA (“Licensor,” “we,” “us” or “our”), and the person or company that buys a beat license on inbenjaminwetrust.com (“Licensee,” “you” or “your”).

This Agreement applies to every beat license sold on inbenjaminwetrust.com, including single beats and beat tapes. When you complete checkout for a license, you agree to this Agreement. Your license is made up of this Agreement, the License Schedule at the end of this Agreement, and your order confirmation, which shows the beat title, the license tier, the price paid and the order date. Keep your order confirmation email and order number. They are your proof of license.

1. Definitions

  • “Beat” means the instrumental musical work and its sound recording produced by JG Benjamin, identified by title on your order, in every file format we deliver to you, including any stems or trackout files.
  • “Producer” means JG Benjamin, the producer and author of the Beat.
  • “New Song” means one new musical work and one new master recording that you create by adding your own original vocals, lyrics or other original material to the Beat. One license covers one New Song.
  • “Tier” means the license level you purchase: MP3 Lease, WAV Lease, Unlimited Lease or Exclusive. The rights and limits of each Tier are set out in the License Schedule.
  • “Audio Stream” means one play of the New Song on any audio streaming or audio sharing service (for example Spotify, Apple Music, Amazon Music, Tidal, Deezer, YouTube Music, SoundCloud and Audiomack), whether or not the service pays you. Audio Streams are counted across all services combined.
  • “Unit” means one copy of the New Song distributed as a paid download, a free download or a physical product (for example a CD, vinyl record or cassette). Audio Streams are not Units.
  • “Music Video” means one video in which the New Song is the soundtrack, published on an online video platform (for example YouTube, Vimeo or Facebook). Different edits or cuts of the same video count as one Music Video.
  • “Paid Performance” means a live performance of the New Song where admission is charged or where you are paid to perform.
  • “Radio Station” means a terrestrial, satellite or internet radio station. Each station counts once, no matter how many times it plays the New Song.

2. Ownership of the Beat

  • The Producer, JG Benjamin, owns all copyrights in the Beat, including the copyright in the musical composition and the copyright in the sound recording. Licensor sells licenses to the Beat with the Producer’s authorization.
  • A license is permission to use the Beat. It is not a sale or transfer of any copyright. No Tier, including Exclusive, transfers ownership of the Beat to you.
  • You own the copyright in the original lyrics, vocals and other original material you add. The New Song is a derivative work that contains the Beat, so you may only exploit the New Song as this Agreement allows.
  • All rights not expressly granted to you in this Agreement are reserved by the Producer and Licensor.

3. License Grant

When your payment is received in full, Licensor grants you a worldwide, non-transferable license, with no right to sublicense, to:

  1. record one New Song using the Beat;
  2. edit, arrange, loop and shorten or extend the Beat as needed to create the New Song;
  3. reproduce, distribute, sell and stream the New Song within the limits of your Tier;
  4. perform the New Song live and allow it to be broadcast within the limits of your Tier;
  5. create Music Videos for the New Song within the limits of your Tier; and
  6. post clips of the New Song of up to 60 seconds on social media (for example TikTok, Instagram Reels and YouTube Shorts) to promote the New Song. These promotional clips do not count toward your Audio Stream or Music Video limits.

The license is non-exclusive for the MP3 Lease, WAV Lease and Unlimited Lease Tiers, and exclusive for the Exclusive Tier, as described in Section 9.

You may let your distributor, label or publisher handle the New Song on your behalf, as long as they follow this Agreement and stay within your Tier limits. You remain responsible for their compliance.

4. Tier Limits and Upgrades

  • Each Tier has limits on Audio Streams, Units, Music Videos, Paid Performances and Radio Stations, listed in the License Schedule. When the New Song reaches any limit, you must upgrade before going over it.
  • To upgrade, email info@reecenben.com with your order number. If the Beat is still available, we will credit the amount you paid for your current license toward the current price of the higher Tier for the same Beat.
  • If the Beat has been sold under an Exclusive license, upgrades are no longer available. Your existing license stays valid within its limits.
  • Going over a Tier limit without upgrading is a breach of this Agreement.

5. Credit

You must credit the Producer as “Prod. by JG Benjamin” wherever credits can be displayed, including streaming service credit fields, distributor metadata, video descriptions, physical product packaging and liner notes. You do not have to include the credit in the song title.

6. What You May Not Do

Under every Tier, you may not:

  • sell, lease, license, give away, share or distribute the Beat itself, with or without changes, as an instrumental, as stems or trackouts, or as part of a beat pack, sample pack, loop kit or sound library;
  • claim that you produced or own the Beat, or register the Beat by itself (the instrumental without your new material) with any copyright office, performing rights organization, distributor, publisher or collection society;
  • register the Beat by itself with YouTube Content ID or any other content identification or claiming system, and, for non-exclusive Tiers, register the New Song with any such system (see Section 8);
  • use the Beat, the New Song or any files we deliver to train, fine-tune, test or improve any artificial intelligence or machine learning model, to create voice or style models, or as input to any tool that generates music or audio;
  • use the Beat or the New Song in synchronization with film, television, commercials, advertisements, trailers, video games, sponsored or branded content, or any audiovisual work other than your own Music Videos and promotional clips, unless you buy a separate synchronization license from us in writing;
  • create more than one New Song from a single license;
  • use the watermarked or tagged preview versions of any beat for any purpose;
  • transfer, assign or resell your license to anyone else; or
  • use the Beat or the New Song in any way that is unlawful, defamatory, or that infringes anyone else’s rights.

7. Publishing and Royalties

  • Composition split. The Producer is a writer of every New Song. Unless we agree otherwise in a signed writing, the Producer owns 50% of the musical composition of the New Song, meaning 50% of the writer’s share and 50% of the publisher’s share. You and any co-writers share the other 50%. This split applies to every Tier, including Exclusive.
  • Registration. When you register the New Song with a performing rights organization (for example BMI, ASCAP, SESAC or GMR), The MLC, or any publishing administrator or foreign society, you must list JG Benjamin as a writer with a 50% share and list the Producer’s publishing share. Email info@reecenben.com for the Producer’s registration details. If you do not register the New Song correctly, the Producer may register his share directly.
  • Master recording. The license fee is the full payment for your use of the Beat in the master recording of the New Song. No continuing master royalty is owed to Licensor or the Producer, except for the Producer’s composition share and the performance and mechanical royalties that come with it.
  • Your other obligations. You are responsible for paying any other writers, featured artists, engineers and anyone else who contributed to the New Song, and for clearing any samples or other material that you add.

8. Content ID and Content Claims

  • Non-exclusive Tiers. Many artists may license the same Beat. For that reason, if you hold an MP3 Lease, WAV Lease or Unlimited Lease, you may not register the Beat or the New Song with YouTube Content ID, Facebook Rights Manager, TikTok or any other audio fingerprinting or content claiming system, directly or through a distributor. You must opt out of YouTube Content ID and similar “monetization” or “content protection” options at your distributor.
  • Our registrations. The Producer or Licensor may register the Beat with content identification systems. If your licensed New Song or Music Video receives a claim from us or our administrator, email info@reecenben.com with your order number and a link to the content. We will release the claim for licensed uses within your Tier limits. Releasing the claim is our only obligation, and we are not responsible for revenue held or lost while a claim is open.
  • Wrongful registrations. If you register in violation of this Section, you must remove the registration and release all resulting claims within 5 days after we notify you, and you must pay us any revenue collected from claims on content that you do not own.
  • Exclusive Tier. An Exclusive licensee may register the New Song (with its new vocals or material) with content identification systems, but may never register the Beat by itself. The Exclusive licensee must release, within 5 days after notice, any claim against content of a non-exclusive licensee whose license was sold before the Exclusive, and any claim against content of the Producer or Licensor.

9. Exclusive License

When you buy the Exclusive Tier and your payment is received in full:

  • we remove the Beat from sale, and neither Licensor nor the Producer will grant any new license to the Beat to anyone else, including inside beat tapes;
  • your rights to exploit the New Song have no limits on Audio Streams, Units, Music Videos, performances or Radio Stations, worldwide and for the life of the copyright, subject to this Agreement;
  • you receive the WAV, MP3 and trackout stem files for the Beat; and
  • synchronization in film, television, advertising, video games and other audiovisual works beyond your own Music Videos still requires a separate written synchronization license from us, which we will not unreasonably refuse.

Licenses sold before the Exclusive. Non-exclusive licenses for the Beat sold before your Exclusive purchase remain valid under their own terms, and those licensees may keep exploiting their songs within their limits. Your Exclusive rights are subject to those earlier licenses, and you agree not to make claims against those licensees. The Producer may also keep any earlier instrumental releases of the Beat (for example on JG Benjamin beat tapes or streaming services) available. Before you buy an Exclusive, you may email info@reecenben.com to ask how many non-exclusive licenses have been sold for the Beat.

What the Producer keeps. The Exclusive Tier is an exclusive license, not a transfer of copyright. The Producer keeps ownership of the Beat and his composition share of the New Song, and may describe the Beat as “sold” and use short excerpts of it in his portfolio and promotional materials.

10. Delivery of Files

  • Files are delivered by download link after your payment is received. The link appears on your order confirmation page, in your confirmation email and in your account on the site.
  • Download links may expire or have a download limit. Save your files in a safe place. If you lose your files, we may resend them at our discretion while the Beat remains in our catalog.
  • Purchased files are delivered without the audio tag used on previews.
  • Where a Tier includes trackout stems, or stems are available on request, we deliver them by download link within 3 business days after your request to info@reecenben.com.

11. Payment and No Refunds

  • Your license takes effect only when your payment is received in full. If a payment is reversed, refunded or charged back, the license ends automatically.
  • Beat licenses are digital goods that cannot be returned. All license sales are final once your download link is delivered, except for duplicate purchases and defective files that we cannot replace, as described in our Refund and Returns Policy at https://inbenjaminwetrust.com/refund-policy/.

12. Term

The term of each license is listed in the License Schedule. When a license with a fixed term ends, you must stop creating new copies, new distributions and new uses of the New Song, unless you buy a new license. Physical copies made during the term may be sold until they run out. Perpetual licenses last for the life of the copyright in the Beat unless they are terminated under Section 13.

13. Termination for Breach

  • If you breach this Agreement, we may terminate your license by email to the address on your order. If the breach can be fixed, you will have 10 days after our notice to fix it before termination takes effect.
  • We may terminate your license immediately, without a cure period, if you file a chargeback or reverse your payment, claim ownership of the Beat, resell or distribute the Beat itself, register the Beat or a non-exclusive New Song with a content identification system, or use the Beat for artificial intelligence training.
  • When your license ends, all of your rights to use the Beat end. You must remove the New Song from all distribution, streaming services and platforms within 30 days and stop all further use. We may send takedown notices to any platform where the New Song appears. No refund is due on termination for breach.
  • Sections 2, 6, 7, 8, 13, 14, 15, 16, 17 and 18 survive the end of your license.

14. Promises Each Party Makes

  • Licensor promises that the Producer created the Beat and that we have the right to license it to you. If a third party claims that the Beat infringes its rights, we may replace the Beat or refund your license fee and end the license. That is your only remedy for such a claim.
  • You promise that you are at least 18 years old (or have the consent of a parent or guardian who agrees to this Agreement), that the material you add to the Beat is original or properly cleared, and that you will use the Beat and the New Song only as this Agreement allows.
  • Except for the promises in this Section, the Beat and all files are provided “as is,” without any other warranty, express or implied, including any warranty of merchantability, fitness for a particular purpose or commercial success.

15. Indemnity

You will defend, indemnify and hold harmless Licensor, the Producer and their officers, employees and agents from all claims, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising from your breach of this Agreement, the material you add to the Beat, any samples you use, or your exploitation of the New Song.

16. Limitation of Liability

To the maximum extent permitted by law, the total liability of Licensor and the Producer under this Agreement will not exceed the amount you paid for the license at issue. Neither Licensor nor the Producer will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or opportunities, even if told such damages were possible.

17. Governing Law and Venue

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising from this Agreement will be brought only in the state or federal courts located in New Castle County, Delaware, and both parties consent to the jurisdiction of those courts. Licensor may also seek an injunction or other equitable relief in any court with jurisdiction to stop unauthorized use of the Beat.

18. General Terms

  • Entire agreement. This Agreement, the License Schedule and your order confirmation are the entire agreement about your license. They replace any earlier license document for the same purchase. If they conflict, this Agreement controls.
  • Version that applies. We may update this Agreement for future sales. The version posted on the date of your purchase governs your license.
  • Electronic acceptance. You accept this Agreement by completing checkout. No signature is required.
  • Notices. We send notices to the email address on your order. You send notices to info@reecenben.com.
  • Assignment. You may not assign or transfer your license. Licensor may assign this Agreement to an affiliate or to a successor to the business or the catalog.
  • Severability and waiver. If any part of this Agreement is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver of it.
  • Relationship. Nothing in this Agreement creates a partnership, joint venture or employment relationship.
